Terms of service

Last updated November 1, 2026. These terms are an agreement between you, the business that installs Packtally ("you"), and Music City Labs ("Music City Labs", "we", "us"), the maker of Packtally, a Shopify app. By installing or using Packtally you agree to them. If you don't agree, don't install or use Packtally.

1. The short version

Every store agrees to these points in the app, with a name and date, before it can use Packtally:

  1. Packtally is a preparation tool. It is not a law firm, an accountant, a producer responsibility organization or a filer, and nothing it shows is legal, tax or compliance advice.
  2. Its figures come from my Shopify data and the packaging, revenue and answers I enter. Estimates and suggestions can be wrong, and I check every figure before I use it.
  3. Rules, thresholds, rates and deadlines are summarized from published sources and can change or be read differently. CAA, CalRecycle and each state are the authority, not Packtally.
  4. My company, through its authorized representative, alone decides what to report and is solely responsible for registering, reporting, attesting, labeling and paying.
  5. Music City Labs isn't liable for any fee, penalty, fine, interest, audit cost or other loss tied to a report, exemption, warning or decision, whether or not I used Packtally's figures.

The rest of these terms say the same thing in full. If anything below seems to conflict with the short version, the fuller wording controls.

2. What Packtally is

Packtally is software that helps you organize your own information. It reads order data from your Shopify store, combines it with the packaging, revenue and product answers you enter, and arranges the result into estimates, checklists, draft figures, draft methodology text, workbooks and other files laid out to resemble the screens and templates of extended producer responsibility (EPR) programs and related product laws. Its purpose is to make your own preparation simpler. That is all it does.

3. What Packtally is not

Packtally is not a law firm, an attorney, an accountant, an environmental consultant, an auditor, a producer responsibility organization or a government agency, and it is not affiliated with Circular Action Alliance (CAA), CalRecycle, Landbell, OEHHA or any state. Nothing in Packtally, its files, its emails or its support replies is legal, tax, accounting, regulatory or compliance advice, and no attorney client, fiduciary, agency or advisory relationship is created by your use of it. Labels such as "exempt", "action required", "ready to file", "recommended" or "matches CAA" describe what Packtally calculated from the data it was given under its own reading of published rules. They are not determinations of your legal status.

4. You file, and you are responsible

Packtally never registers, reports, files, attests, signs, labels, warns or pays on your behalf, and never submits anything to any program or agency. You and your company alone decide whether you are a producer or otherwise covered by any law, what to report, which figures to use, whether to claim an exemption, whether and how to show any warning, and what to submit, and you are solely responsible for those decisions and for registering, reporting, attesting, labeling and paying on time. Before relying on anything Packtally shows or produces, you agree to check it against your own records and against the current instructions of the program or agency, and to get advice from a qualified professional where you need it.

5. Your data

Packtally's output is only as accurate as its inputs. Shopify order data can be incomplete, and packaging weights, materials, revenue, product categories and answers are entered or confirmed by you. Packtally may suggest values, estimate weights, guess product categories or map materials to program categories; these are starting points for you to check, not facts. You are responsible for the accuracy and completeness of everything you enter or confirm.

6. Laws, rates and deadlines

Rules, thresholds, material categories, rates, fees and deadlines are summarized from published sources as of the date shown in the app. They change, they are sometimes unclear, programs interpret them, and our summary may be incomplete, out of date or wrong. Fee figures are estimates only; programs bill from their own schedules. The program or agency is always the authority. We may update the rules Packtally uses at any time without notice, and we do not promise that Packtally covers every law, state, product or obligation that applies to you.

7. Locked filings and signed confirmations

When you lock a filing or exemption record, the person locking it signs a statement that they reviewed the figures and that you, not Packtally, are responsible for what is submitted. We keep the signed statement, the name entered and the date with the record. Locking keeps a copy of figures you approved; it does not check them for legal correctness or submit them anywhere.

8. Prop 65 and other warnings

Packtally can show warning text you configure on your product pages. Packtally does not test products, determine exposures or decide whether a warning is required, which chemical to name or what the warning must say. Whether to warn, and the content, placement and method of any warning, are your decisions and your responsibility.

9. Plans and billing

Paid plans are billed by Shopify on your Shopify invoice, monthly or yearly, at the prices shown in the app. New paid plans may include a free trial; filing workbooks, locks and the portal entry sheet unlock when the trial ends and the plan is paid. You can change or cancel anytime from the Plans page; Shopify handles any proration. Fees already paid are not refunded except as Shopify's billing rules provide. Plan contents and prices can change with notice in the app.

10. No warranty

PACKTALLY, ITS CONTENT AND EVERYTHING IT PRODUCES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. TO THE FULLEST EXTENT THE LAW ALLOWS, MUSIC CITY LABS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF ACCURACY, COMPLETENESS, TIMELINESS, COMPLIANCE WITH ANY LAW OR PROGRAM, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON INFRINGEMENT, AND ANY WARRANTY THAT PACKTALLY WILL BE UNINTERRUPTED, ERROR FREE OR SECURE, OR THAT ANY REPORT, EXEMPTION OR WARNING BASED ON IT WILL BE ACCEPTED OR SUFFICIENT.

11. Limit of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, MUSIC CITY LABS AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY FEE, DUES, CHARGE, PENALTY, FINE, INTEREST, ASSESSMENT, SETTLEMENT, AUDIT OR CORRECTION COST, LEGAL OR PROFESSIONAL FEE, RECALL OR RELABELING COST, LOST PROFIT, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, ARISING FROM OR RELATED TO PACKTALLY, ITS OUTPUT, ANY REPORT, EXEMPTION, WARNING OR DECISION, OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS TOGETHER IS LIMITED TO THE AMOUNT YOU PAID US FOR PACKTALLY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM, OR $100 IF YOU PAID NOTHING. THESE LIMITS ARE AN ESSENTIAL PART OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. You protect us

You will defend, indemnify and hold harmless Music City Labs and its owners, members, employees and contractors from any claim, demand, penalty, assessment, loss or cost, including reasonable attorneys' fees, brought by a program, agency, customer or other third party that arises from your reports, exemptions, registrations, payments, labels, warnings or products, the data you provide, your use of Packtally or its output, or your breach of these terms.

13. Disputes

These terms are governed by the laws of the State of Tennessee, without regard to conflict of law rules. Before bringing a claim, you agree to email us at the address below and give us 30 days to try to resolve it. Any claim that isn't resolved must be brought only in the state or federal courts located in Davidson County, Tennessee, and both parties consent to their jurisdiction. Claims must be brought individually, not as a plaintiff or class member in any class, collective or representative action, and, to the extent the law allows, both parties waive a jury trial. Any claim must be brought within one year after it arises, or it is permanently barred.

14. Ending

You can stop using Packtally and uninstall it anytime. We may suspend or end access if you breach these terms or if we stop offering Packtally, and we will try to give you time to download your locked records first. After uninstall, Shopify asks us to erase your store's data, and we do, so download anything you want to keep before uninstalling. Sections 3 through 8 and 10 through 15 continue after these terms end.

15. General

These terms, the privacy policy and any plan terms shown in the app are the whole agreement about Packtally. If any part is found unenforceable, it is limited to the minimum extent necessary and the rest stays in effect. Our not enforcing a part is not a waiver. You may not assign these terms without our consent; we may assign them with our business. We may update these terms; when we do, the date above changes and the app asks you to agree again before you continue using it.
